General Terms and Conditions sale of Goods applicable to all transactions on or related to this this website or with SHEGEL SPRL/BVBA

 

1.Every order placed via our website or otherwise and/or purchase agreement entered into between our company (referred to hereinafter as “the Seller”) and you as a person or your company (referred to hereinafter as “the “Customer”) is governed exclusively by these general conditions of purchase, which together constitute the Contract and which excludes the application of any terms and conditions of the Customer or which the Customer seeks to impose or incorporate or which are implied by trade, custom, practice and/or course of dealings. For the purposes of these Conditions, a reference to “Contract” shall mean the contract between the Customer and the Seller and/or between the Customer or the Seller and a third party for the supply of goods in accordance with these Conditions. The Customer therefore expressly waives all clauses and conditions that diverge or differ from the Conditions or which conflict with the same, regardless of what the designation is of its own clauses and conditions in this respect, unless the Seller has agreed to the same in writing and in advance. Any divergence, supplement or amendment to the Contract may only be validly asserted in respect of the Seller if the latter has expressly agreed to the same in writing and in advance and in a separate document signed by the Seller. The Contract is deemed to have been irrevocably accepted by the Customer by the act of making placing its order, via our website or otherwise, regardless of all prior correspondence or discussions. In the event of a refusal to apply the Conditions to an order or a purchase agreement before its performance is commenced, the Seller is entitled to suspend all orders until agreement is reached in relation to the applicable conditions. The Conditions may be unilaterally amended by the Seller from time to time. Such amended Conditions shall be automatically and lawfully applicable to the contractual relations between the Seller and the Customer should no objection in writing be received from the Customer within 48(forty eight) hours of the disclosure of the revised Conditions on the Seller’s website, either by letter, fax, email or where applicable by reference to a website address. Every subsequent order placed by the Customer via Seller’s website, by word of mouth, telephone, computer, fax, or in any other manner shall be governed and remain governed exclusively by these Conditions, even if the document or invoices furnished by the Customer in this respect should mention its own general conditions.

2.Proposals of Seller and the offer of Seller on Seller’s website are made under all reservations, subject to availability of the goods and reservation made for omissions, material or mathematic errors. They are not-binding upon Seller and Seller does not take any commitment to effectively execute them.

3.The prices, as indicated in our proposals or on our website, be it unit prices or lump sum prices are fixed on the basis of tariffs, official rates, salaries, patronal charges, material costs,…valid at the date of the proposal or publication of prices on our website. Prices can be escalated, adjusted or increased at any time, at the sole discretion of the Seller. The prices do not include any other costs that the price for the goods, such as administrative costs, the costs of the required accessories, all duties payable, taxes, VAT, costs of customs clearance, excises, withholding tax , packing costs, insurance, shipping and transport costs, all such costs will be for the sole account of the Customer.

4.Delivery times are mentioned for information only and are purely indicative. They are not binding on the Seller. In the event that such delivery times are not met by Seller, the Customer has no right to cancel the order either wholly or in part or to return the goods at the expense and risk of the Seller, or to refuse either all or part of the delivery. The Customer can also not suspend its payment obligations to the Seller or request payment of damages or penalties from Seller on this basis. Any event beyond the Seller’s will or control or which impedes the Seller to fulfil its obligations will be considered as a case of force majeure, such as but not limited to accidents, incidents, war and its consequences, bad weather conditions, breakdowns at Seller’s supplier(s) or subcontractor(s) plant(s), difficulties in transport, etc… which occur at Seller’s or at Seller’s supplier’s or (sub)contractors.

5.Shipment and transport are for the account and at the risk of Customer. The risk passes to the Customer at the moment that the goods leave the Seller’s or the Seller’s stock manager’s premises. The ownership of the goods only passes to Customer upon full payment to Seller of the invoice related thereto.

6.The delivery to Customer and acceptance of the goods by the Customer entails the transfer of ownership, provided all amounts due were paid by Customer prior to such delivery. For this purpose, the reception note issued and signed by the Customer is the only document that will be taken into account. The receipt of the goods and signing of the reception note cover the quantity, quality of the product, its storage, or its patent and latent defects. Goods which are defect or which do not conform the Customer’s order can be refused and returned by Customer provided Customer informs Seller thereof within 48 h of receipt of the goods.

7.In accordance with clause 1152 of the Civil Code it is expressly understood that the liability of the Seller is overall and in aggregate limited to the value of the goods sold, as full and final settlement.

8.Termination of the Contract during or before execution thereof is only possible with the prior written agreement of Seller. In such case Customer will always be hold to reimburse Seller for costs and charges already incurred, increased with a compensation equal to 50% of the total value of the relevant order.

9.Seller does not provide any other guarantee than those expressly stated in these Conditions. The guarantee of Seller is limited to those obtained by Seller from its own supplier(s) or (sub)contractor(s). The goods however may not be treated or processed by Customer.

The possible guarantee of the relevant supplier or (sub)contractor and the liability of the Seller does however not extend to:

-non-physical/non-property damages, punitive, special, consecutive or consequential damages, immaterial damages or commercial damages caused to the Customer or to third parties;

-wrong or incorrect use, treatment or processing of the goods

-damages caused by force majeure or unforeseen circumstances;

-use or alteration of the goods which do not conform with Seller’s instructions;

-willful misconduct or express fault of Customer or the user of the goods;

-damages one by humidity or freezing temperatures;

Clauses 1643 and following of the Civil Code with regard to hidden defects are not applicable, except for clause 1648.

10.In order to be validly made, each complaint with regard to advance payments, payments and invoices must be done by Customer via registered letter to Customer’s registered seat within 8 calendar days as from receipt of the goods. The date of invoice is irrevocably deemed to be the date of sending of the invoice. Payment of the invoice without any objection within the contractual term is always and without any exception deemed to be irrefutable proof of the executed supplies. The recording of the invoice in our accounting and in out VAT declaration constitutes irrefutable proof of the sending of the invoice or order.

11.All goods remain the property of the Seller until full payment of all sums, interests and indemnities due.

12.Except in case another due date is explicitly mentioned on the invoice or in the order, all orders and payments as well as related costs are payable for 100% immediately and anticipatively, before any shipment, at the registered seat of Seller. The debt is portable by the Customer to the Seller and not to be obtained by Seller. Seller has the right to suspend all ongoing supplies in case of non-payment by Customer, even if such non-payment is related to other contracts.

13.VAT, all dues, taxes, customs, contributions or rights to be paid are for the account of the Customer. In case of change of law, such as increasing of VAT-tariffs, customs, VAT-regimes or customs regimes, causing an increase of the costs for Seller, such increased costs will be payable by Customer.

14.Each debt from Customer which remains unpaid at its due date in whole or in part will automatically and as per law generate an interest on arrears of 12% per year with automatic capitalization of interest (“anatocisme”) in accordance with clause 1154 of the Civil Code as from the first anniversary of such debt. The interest on arrears will be calculated as from due date until the date of full payment of the unpaid amounts. In case of non-payment an indemnity of 15% of the unpaid amounts will also be charged to Customer, with a minimum of 125 EUR and a maximum of 2.500 EUR, on top of the interest on arrears.

15.Untimely payment of an invoice will make all other debts, also those who are not due yet, payable by Customer to Seller, even if those debts concern another contract, and this automatically and as per law.

16.In case of suspension or slow-down in payments by Customer, Seller is entitled to suspend ongoing deliveries and/or to terminate the Contract without intervention of the courts (“extra-judicial”) because of the Customer’s breach of contract. The Seller is also entitled to refuse any additional orders. This clause is only for the benefit of the Seller and cannot be invoked by the Customer.

17.This agreement, the (commercial) relationship between Seller and Customer and each dispute regarding the order, delivery and/or payment of the goods and/or services sold by Seller, as well as the validity, interpretation and execution of the Contract are governed by Belgian law. Only the competent courts of the judicial district of Kortrijk, Belgium will be competent to rule over such disputes, with the explicit exclusion of any other court of law or dispute resolution organization. The language of the procedure will be Dutch. The United Nations Convention on Contracts for the International Sale of Goods (CISG) (the Vienna Convention) does not apply to this Agreement.

4.Delivery times, planning of Services or time for completion of Services are mentioned for information only and are purely indicative. They are not binding on the Service Provider/Consultant. In the event that such delivery times, planning of Services or time for completion of Services are not met by Service Provider/Consultant, the Customer has no right to cancel the order either wholly or in part or to return the goods at the expense and risk of the Service Provider/Consultant, or to refuse either all or part of the delivery. The Customer can also not suspend its payment obligations to the Service Provider/Consultant or request payment of damages or penalties from Service Provider/Consultant on this basis. Any event beyond the Service Provider/Consultant’s will or control or which impedes the Service Provider/Consultant to fulfil its obligations will be considered as a case of force majeure, such as but not limited to accidents, incidents, war and its consequences, bad weather conditions, breakdowns at Service Provider/Consultant’s supplier(s) or subcontractor(s) plant(s), difficulties in transport, etc… which occur at Service Provider/Consultant’s or at Service Provider/Consultant’s supplier’s or (sub)contractors.

7.In accordance with clause 1152 of the Civil Code it is expressly understood that the liability of the Service Provider/Consultant is overall and in aggregate limited to the value of the goods and/or Services sold, as full and final settlement.

8.Termination of the Contract during or before execution thereof is only possible with the prior written agreement of Service Provider/Consultant. In such case Customer will always be hold to reimburse Service Provider/Consultant for costs and charges already incurred, increased with a compensation equal to 50% of the total value of the relevant order or in case the relevant order does not state a total value a lump sum of 5.000 EUR.

9.Service Provider/Consultant does not provide any other guarantee than those expressly stated in these Conditions. The guarantee of Service Provider/Consultant is limited to those obtained by Service Provider/Consultant from its own supplier(s) or (sub)contractor(s). The goods however may not be treated or processed by Customer.

The possible guarantee of the relevant supplier or (sub)contractor and liability of the Service Provider/Consultant does however not extend to:
